RENTAL AGREEMENT FOR commercial shop

This Rental Agreement (“Agreement”) is made and entered into 1st day of July, 2025, by and between:

FIRST PARTY: Nurul Islam Molla, son of Late Nurul Amin Molla, residing at R-183/C, SA Farooque Road, Kolkata - 700024, hereinafter referred to as the "FIRST PARTY" (which expression shall, unless repugnant to the context or meaning thereof, include his heirs, legal representatives, successors, and assigns).

AND

SECOND PARTY: John Doe, son of Richard Roe, holder of Aadhaar Card No. 0000 0000 0000, residing at 123 Elm Street, Springfield, hereinafter referred to as the "SECOND PARTY" (which expression shall, unless repugnant to the context or meaning thereof, include his heirs, legal representatives, successors, and permitted assigns).

WHEREAS:

  1. The FIRST PARTY is the lawful owner and in possession of a self-contained commercial shop located at S-156/3, Cotton Mills Lane, Kolkata - 700018  (hereinafter referred to as the “Scheduled shop”).
  2. The FIRST PARTY agrees to let out the said shop to the SECOND PARTY for commercial use on the terms and conditions as set forth below.

Terms and Conditions

  1. Duration:This rental agreement shall be valid for a fixed term of Eleven (11) months, commencing from 1st July 2025 and ending on 30th June 2026 . No automatic renewal shall apply.
  2. Occupational Charge (Rent): The SECOND PARTY shall pay a daily rent of ₹150/- (One Hundred Fifty Rupees Only), amounting to approximately ₹4500 /- per month. Rent shall be paid weekly, every Monday, via cash/bank transfer/UPI (choose one or more).
  3. Security Deposit:The SECOND PARTY has deposited a sum of ₹ 30000 /- (Thirty Thousand Rupees Only) as a refundable Security Deposit with the FIRST PARTY.
    • This amount shall be refunded without interest at the end of the tenancy, subject to the shop being vacated in good condition and without dues.
    • If the SECOND PARTY terminates the agreement before the expiry of the term, the Security Deposit shall be forfeited.
  4. Use of Premises:
    • The Scheduled shop shall be used exclusively for the purpose of selling and repairing electrical goods and parts .
    • It shall not be used for any illegal, immoral, or unauthorized purposes.
    • All necessary licenses and permissions required for operating the business shall be obtained by the SECOND PARTY at their own expense.
    • The SECOND PARTY shall not carry out structural modifications or damage the property in any way.
  5. Electricity Charges:
    • Electricity shall be charged based on sub-meter reading.
    • The SECOND PARTY agrees to pay for the electricity consumed as per the actual usage, at the prevailing rates applicable from time to time.
    • Payment shall be made monthly upon presentation of the meter reading.
  6. Maintenance:The SECOND PARTY shall maintain the shop in good, clean, and tenantable condition, and shall be liable for any damage caused due to misuse or negligence. At the time of vacating, the shop shall be handed over in the same condition as received.
  7. Prohibition on Subletting:The SECOND PARTY shall not sublet, assign, lease, or transfer the premises or any part thereof to any third party without prior written consent of the FIRST PARTY.
  8. Right to Terminate in Case of Construction or Redevelopment:If at any point during the tenancy, the FIRST PARTY decides to undertake construction or redevelopment of the premises, the SECOND PARTY shall vacate the shop within 30 days of written notice, and the Security Deposit shall be returned without interest.
  9. Early Termination:
    • The SECOND PARTY may vacate the premises before the end of the agreement by giving 30 days' written notice.
    • In such case, the Security Deposit shall be forfeited.
    • The FIRST PARTY may terminate the agreement by giving 30 days' written notice if the SECOND PARTY breaches any terms of this Agreement, including but not limited to non-payment of rent or misuse of premises.
  10. No Tenancy Rights Created:This agreement does not constitute a lease and does not create any tenancy rights in favor of the SECOND PARTY under any law. The SECOND PARTY is a licensee, and this is a temporary occupational arrangement.
  11. Governing Law:This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts at Kolkata.
